OMRON to Acquire Interlogic and OnLogic for USD 675 Million
OMRON Corporation has agreed to acquire Interlogic, Inc. and its subsidiary OnLogic, Inc. for USD 675 million in cash. The deal combines OnLogic's rugged industrial PCs with OMRON's control technology for physical AI platforms.
OMRON to Acquire Interlogic and OnLogic
OMRON Corporation, headquartered in Shimogyo-ku, Kyoto, and led by President and CEO Junta Tsujinaga, announced on October 10, 2026, Japan time, that it has agreed to acquire Interlogic, Inc. (IL) and its group companies, including OnLogic, Inc. (OL), through a reverse triangular merger between IL and a U.S. subsidiary to be established by OMRON.
Under the structure, the OMRON subsidiary, to be established in Delaware, will merge into IL, a Vermont corporation, with IL as the surviving company. IL will become a direct wholly owned subsidiary of OMRON, and its subsidiaries, including OnLogic, will become indirect subsidiaries. OMRON said the structure was chosen because IL's shareholders include its founders and 167 officer and employee shareholders, allowing a single transaction rather than numerous individual share transfers.
Strategic Rationale and Target Profile
OMRON said the acquisition supports its effort to evolve its Industrial Automation Business from a factory automation equipment manufacturer into a company focused on manufacturing-site digital transformation and physical AI. OnLogic designs, develops, manufactures and sells highly configurable, rugged industrial PCs, primarily through direct sales and build-to-order production. More than 90% of its sales are generated in the Americas and Europe.
The companies plan to combine OnLogic's industrial PCs with OMRON's proprietary high-precision control technology to accelerate development of next-generation physical AI platforms. They also intend to cross-sell products and jointly develop solutions that pair OMRON's sensing and robotics equipment with OnLogic's industrial PCs.
Following the acquisition, OnLogic is expected to continue operating as an independent business within the OMRON group, retaining its direct-to-customer sales model and the OnLogic brand. The current management team, including CEO Sean Larkin, is expected to remain in place, while OMRON will support further growth through its business platform in Asia and its factory automation control equipment expertise.
Financial Terms and Timeline
The acquisition price is USD 675 million on an enterprise value, debt-free and cash-free basis, equivalent to approximately JPY 104.6 billion at JPY 155 per USD. Payment will be made in cash, primarily funded by OMRON's cash on hand. OMRON will own 100% of the target as a consolidated subsidiary. The sellers are founders Lisa and Roeland Groeneveld and 167 officer and employee shareholders.
Interlogic, based in South Burlington, Vermont, is a holding company established in 2010 with capital of USD 3,966 thousand as of December 31, 2025. Its principal subsidiaries include OnLogic, Inc. in the U.S., Greenfield Capital, LLC, OnLogic International B.V. in the Netherlands, and wholly owned units in the Netherlands, Germany, the United Kingdom, Taiwan and Malaysia. OnLogic, established in 2003, had 301 employees and 7 locations, including 2 manufacturing sites, as of March 24, 2026.
Consolidated financial results for the Interlogic group under U.S. GAAP show net sales of USD 129.6 million in fiscal 2023, USD 122.3 million in fiscal 2024 and USD 154.2 million in fiscal 2025. EBITDA was USD 15.9 million, USD 11.6 million and USD 22.6 million, respectively, with adjusted EBITDA of USD 20.6 million, USD 16.1 million and USD 27.1 million.
The board resolution and agreement execution both took place on October 10, 2026, Japan time, with the merger expected to become effective in or around January 2027, subject to approvals from relevant authorities and other conditions. OMRON said the impact on its consolidated financial results for the fiscal year ending March 2027 is expected to be immaterial.
