Marvell Eyes Lumentum Acquisition in What Could Be One of the 10 Largest Tech and Telecom Deals Ever

Marvell is reportedly considering acquiring Lumentum in a deal that could rank among the largest tech and telecom transactions, while analysts warn about financing and integration risks.

Marvell is reportedly considering an acquisition of Lumentum in what could be one of the 10 largest tech and telecom deals ever, as the two Northern California companies discuss a combination fueled by the AI boom. Lumentum has an approximate market capitalization of US$83 billion, compared with Marvell's US$221 billion. The talks highlight investor bets on the technology's enormous growth potential.

Why Lumentum Matters

Lumentum produces optical communication lasers and optical transceiver modules, making it strategically important in the AI boom. Its growing importance has also attracted a US$2 billion investment from NVIDIA. Marvell serves major technology companies such as Google, Amazon, Microsoft, Meta, and Oracle, and it helps Amazon and Microsoft develop custom AI chips.

Marvell's Optical Expansion

Marvell has been expanding its presence in optical communications technology. Earlier this year, it acquired photonics company Celestial AI and gained access to its Optical Multi-Chip Interconnect Bridge (OMIB) technology. Marvell has also reached a chip agreement with Google to support its in-house Tensor Processing Units, with the deal granting Google the right to purchase up to US$12.2 billion worth of Marvell shares. A potential Lumentum acquisition would further broaden Marvell's product portfolio, fill gaps in its optical component offerings, and strengthen its ability to compete with Broadcom, its biggest rival.

Financing and Integration Questions

Bernstein analysts cautioned that the potential deal's size could raise concerns over financing and integration. They noted that Marvell may be unable to fund such a large acquisition entirely with cash. As of its latest quarter, Marvell held approximately US$3.92 billion in cash and cash equivalents.
