Anthropic Commits 5% of Shares to New Public Benefit Fund

Anthropic announced it will commit 5% of its shares to the new Anthropic Public Benefit Fund, subject to stockholder approval, with 2% more added at the board's discretion for every 50% rise in company value; combined with co-founder and staff pledges, roughly 20% of shares will be dedicated to the public good.

A Stake That Grows With the Company

Anthropic announced on October 18, 2026 that it is committing a portion of its shares to the Anthropic Public Benefit Fund, a new entity structured so that its stake increases as the company grows. Subject to stockholder approval, 5% of Anthropic's shares will be committed immediately, with an additional 2% added at the board's discretion for every 50% increase in the company's value above a set baseline.

Because of this structure, the more Anthropic grows, the larger the share of the company that can be dedicated expressly to the public good. The company noted that it is common practice for tech companies to offer escalating compensation awards to their executives, and said it is instead directing that equity to the public benefit.

Flexibility in Structure and Giving

The fund is being established as a wholly owned LLC rather than a 501(c)(3) or another format, which Anthropic said provides adjustability between different forms of giving. As a public benefit corporation, most of Anthropic's mission work takes place inside the company, including research relevant to AI safety and interpretability, applied biomedical research, and discounts on Claude for nonprofits and scientific institutions. The new fund will have increased flexibility and scale, enabling the company to pursue its mission in new ways, such as large donations to traditional nonprofits or direct distributions to specific populations.

One example Anthropic cited is labor market impacts. AI may generate enormous economic value, but it could also cause instability for many workers. Anthropic has already committed $200 million to studying and addressing this issue, but given the pace of AI progress, bolder approaches may be needed, and the fund will have the versatility to pursue them.

Anthropic stated that none of the equity held by the LLC will be used for lobbying or political giving, in the United States or abroad.

Building on Earlier Pledges

The announcement builds on commitments Anthropic's co-founders and employees have already made. When the company was founded, its co-founders pledged to donate 80% of their equity holdings. Since founding, Anthropic has also operated an equity donation match program that allows employees to pledge equity which the company matches, and approximately half of employees participate in the program.

When combined with the new fund, roughly 20% of Anthropic shares will be dedicated to the public good, plus any additional percentage that could be added if the company reaches specific valuation milestones. Anthropic said it will share more about the fund's structure and governance, including the valuation milestones that may add to its stake, in the coming months. The company also plans to report on its progress to date against its mission in an upcoming public benefit report.
